01 Acceptance & Engagement Scope
These Terms of Service ("Terms") govern your use of lynxistudio.com and define the standard commercial framework for all professional service agreements, web engineering projects, technical SEO programs, and AI automation deliverables entered into with LYNXISTUDIO ("the Studio," "we," or "us").
Every commercial engagement is executed pursuant to a written Scope of Work (SOW), project proposal, or formal agreement referencing these Terms. In the event of any specific conflict between an approved SOW and these Terms, the terms of the specific SOW shall govern.
02 Engagement Formats & Timelines
We work with professional service firms and growing software teams under two primary delivery formats:
- Fixed-Scope Sprints: Specific project engagements (such as a 5–8-page website rebuild, brand infrastructure launch, or workflow automation setup) delivered within a defined schedule—typically 2–3 weeks for core website sprints. Sprints include fixed milestones, agreed deliverables, and full code handover.
- Monthly Retainers: Ongoing technical engagements covering continuous SEO/GEO content optimization, conversion rate optimization (CRO), custom landing page builds, and AI workflow maintenance, delivered under an agreed monthly allocation and prompt 1-business-day response turnaround.
03 Billing, Milestone Payments & Invoicing
To ensure alignment, mutual commitment, and transparent delivery, standard project sprints follow a milestone billing schedule:
- 50/50 Milestone Structure: An initial commitment deposit (50% of the agreed project fee) is invoiced upon agreement execution prior to project kickoff; the remaining balance (50%) is invoiced upon staging completion and pre-launch approval, prior to production DNS cutover and repository handover.
- Payment Methods: We accept corporate bank wire transfers (direct USD ACH in the United States, EUR SEPA in the European Union / UK) and Wise international transfers. All invoices carry standard Net 15 terms unless explicitly agreed otherwise.
- Transparent Run Costs: All external third-party infrastructure fees (such as domain registration, production web hosting, CMS subscriptions, and direct LLM API usage) are paid directly by the client with zero studio markups.
04 100% Intellectual Property & Code Ownership
We operate on an open, portable software philosophy. We do not impose proprietary vendor lock-ins or mandatory licensing fees:
- Full IP Transfer: Upon receipt of full settlement for the agreed project milestones, LYNXISTUDIO irrevocably transfers 100% intellectual property ownership of all custom front-end source code, back-end logic, stylesheets, design tokens, Git repositories, and project-specific assets to the client.
- Open-Source Dependencies: Third-party libraries, frameworks, or open-source dependencies incorporated into the build remain subject to their respective open-source licenses (such as MIT, Apache 2.0, or OFL for typography). We provide complete dependency documentation upon handover.
✦ Portable & Maintainable: Your custom codebase is completely portable. Your team can host, modify, extend, or migrate the system to any infrastructure or internal engineering team at any time.
05 Client Responsibilities & Review Cadence
Timely delivery depends on active collaboration between both teams:
- Asset Provision: The client agrees to provide necessary brand assets, existing copy, technical credentials, and product specifications in accordance with the project schedule.
- Designated Decision Owner: To prevent project drift, the client designates one primary project lead authorized to provide consolidated feedback and approve milestones.
- Review Windows: Milestone reviews (Design Prototype and Staging Build) are provided on private password-protected staging environments. Consolidated feedback is requested within agreed review windows to maintain delivery momentum.
06 Confidentiality & Non-Disclosure
Both parties agree to hold all non-public commercial, technical, and strategic information in strict confidence. Neither party will disclose proprietary project briefs, pricing terms, or internal operational details to third parties without prior written consent. Standard bilateral non-disclosure agreements (NDAs) are routinely executed upon request.
07 Technical Warranty & Limitation of Liability
- 30-Day Post-Launch Warranty: Every custom website build includes a comprehensive 30-day technical warranty following production launch. We rectify any verified functional bugs, broken layout states, or browser rendering discrepancies within the agreed scope at zero additional cost.
- Limitation of Liability: In no event shall either party be liable to the other for any indirect, incidental, special, or consequential damages. The Studio’s total aggregate liability arising out of or related to any project engagement shall not exceed the total fees paid by the client under the applicable SOW.
08 Governing Law & Dispute Resolution
These Terms and any related engagement agreement shall be governed by and construed in accordance with the laws applicable to the contracted entity as specified in the relevant Scope of Work (or, in the absence of a specific choice-of-law clause, by general commercial trade practices). Any dispute, controversy, or claim arising out of or relating to this engagement shall first be submitted to good-faith amicable negotiation between senior executives. If unresolved within thirty (30) days, the dispute may be submitted to commercial arbitration or the competent courts having jurisdiction over the defending party.
